Honeyguide Terms and Conditions

IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A WAIVER OF CLASS ACTION RIGHTS. PLEASE READ CAREFULLY.

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and SERVICE BINDERY LLC, doing business as Honeyguide (“Honeyguide,” “we,” “us,” or “our”), governing your access to and use of Honeyguide’s software platform, tools, systems, and related services (collectively, the “Services”).

By accessing, registering for, or using the Services, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity and its affiliates to these Terms, in which case “you” and “your” refer to that entity. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Services.

Scope of Services

Honeyguide provides access to a white-labeled software platform that includes customer relationship management (CRM), marketing automation, communication tools, and artificial intelligence (“AI”) powered features. Portions of the Services are powered by third-party providers, including but not limited to HighLevel and related infrastructure.

Your subscription grants you access to the platform and certain included resources, which may include documentation, training materials, community access, and group support such as office hours. Unless explicitly stated in a separate written agreement, your subscription does not include setup, implementation, configuration, customization, or ongoing management of your systems. Those services are offered separately and may require additional fees.

Honeyguide provides technology, tools, and optional implementation services. Honeyguide does not operate your business, make decisions on your behalf, or assume responsibility for your business performance.

White-Labeled Platform and Third-Party Dependencies

You acknowledge that Honeyguide provides a white-labeled platform that relies in part on third-party software, infrastructure, and service providers. Honeyguide does not own or control all underlying components of the platform. As a result, certain features, functionality, integrations, or availability of the Services may change, be limited, or become unavailable due to actions or conditions outside of Honeyguide’s control.

Honeyguide is not responsible for any outages, interruptions, delays, errors, or changes caused by third-party providers. Your use of any third-party features or integrations may also be subject to separate terms and conditions imposed by those providers.

Artificial Intelligence and Automation

The Services may include AI-powered tools and automated processes designed to assist with communication, marketing, sales workflows, and operational tasks. You acknowledge that AI-generated outputs are not guaranteed to be accurate, complete, or appropriate for your specific use case.

You are solely responsible for reviewing, approving, and validating any AI-generated or automated content before it is used, published, or sent. Honeyguide does not warrant the accuracy, reliability, or suitability of any AI outputs and shall not be responsible for any decisions made or actions taken based on such outputs.

Automation features may operate without manual intervention once configured. You are responsible for properly configuring, testing, and monitoring all automations. Honeyguide is not liable for any consequences resulting from automated actions, including but not limited to unintended communications, errors, or business impacts.

No Guarantees of Results

Honeyguide makes no representations or guarantees regarding the performance of the Services or any business outcomes that may result from their use. This includes, without limitation, any expectations related to lead generation, conversion rates, sales, revenue, return on investment, or business growth.

Any examples, projections, or case studies provided by Honeyguide are for illustrative purposes only and do not represent typical or guaranteed results.

User Responsibilities and Compliance

You are solely responsible for all use of the Services under your account. This includes all communications sent, data processed, and actions taken through the platform.

You agree to comply with all applicable laws, regulations, and industry standards, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, data privacy and protection laws, and any other laws governing marketing, communication, and data usage.

You are responsible for obtaining and maintaining all necessary consents and permissions from your contacts prior to sending communications. You agree not to use the Services to send unsolicited, unlawful, or abusive communications.

Honeyguide does not monitor or control your communications and is not responsible for your compliance with applicable laws.

Fees, Billing, and Payment Terms

You agree to pay all fees associated with your use of the Services as outlined in your subscription, order, or invoice. Fees may include recurring subscription charges, one-time fees, and usage-based charges.

Subscription fees are billed in advance on a recurring basis according to your selected billing cycle. You authorize Honeyguide to charge your payment method on file for all applicable fees.

All payments are non-refundable unless otherwise explicitly stated in a written agreement signed by Honeyguide.

Usage-Based Charges

Certain features of the Services incur additional usage-based charges, including but not limited to email delivery, SMS messaging, voice communications, AI processing, and third-party integrations. These charges are based on actual usage and are billed separately from your subscription fees.

You acknowledge that these costs are necessary to operate the platform and may vary based on your activity. Honeyguide does not guarantee fixed pricing for usage-based services and may pass through pricing changes from underlying providers.

Account Security and Responsibility

You are responsible for maintaining the confidentiality and security of your account credentials. You are fully responsible for all activities that occur under your account, whether authorized by you or not.

You agree to notify Honeyguide immediately of any unauthorized access or use of your account. Honeyguide reserves the right to suspend or restrict access to your account if it reasonably suspects a security breach or violation of these Terms.

Acceptable Use

You agree not to use the Services for any unlawful, fraudulent, or abusive purpose. You may not copy, modify, distribute, reverse engineer, or attempt to extract the source code of the platform. You may not resell, sublicense, or provide access to the Services to third parties except as expressly permitted.

You also agree not to use the Services to develop or compete with a similar product or service.

Data and Privacy

You retain ownership of any data, content, or materials you submit through the Services (“Client Data”). You grant Honeyguide a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your Client Data solely for the purpose of providing and improving the Services.

Honeyguide may use aggregated and anonymized data for analytics, performance monitoring, and service improvement.

Service Availability and Modifications

Honeyguide does not guarantee that the Services will be uninterrupted, error-free, or available at all times. The Services may be subject to downtime, maintenance, delays, or technical issues.

Honeyguide reserves the right to modify, update, or discontinue any part of the Services at any time, with or without notice.

Term and Termination

Your subscription will automatically renew unless canceled in accordance with your plan terms. You may cancel your subscription through your account or by following the cancellation procedures provided.

Honeyguide may suspend or terminate your access to the Services at any time for non-payment, violation of these Terms, or any activity that may harm Honeyguide, its platform, or other users.

Upon termination, your right to access the Services will cease, and your data may be deleted after a reasonable retention period.

Limitation of Liability

To the maximum extent permitted by law, Honeyguide shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Honeyguide’s total liability arising out of or related to these Terms shall not exceed the total amount paid by you to Honeyguide in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Honeyguide and its officers, directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict of law principles.

Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

You and Honeyguide agree to waive any right to a jury trial or to participate in a class action. The arbitration shall be conducted on an individual basis, and the arbitrator shall not have authority to consolidate claims.

Updates to Terms

Honeyguide reserves the right to modify these Terms at any time. Updated Terms will be posted and will become effective upon continued use of the Services.

Entire Agreement

These Terms constitute the entire agreement between you and Honeyguide regarding the Services and supersede all prior agreements, understandings, or representations.
